Terms of Service

Effective Date: December 27, 2025

1. Agreement to Terms

By accessing or using the software applications, cloud extensions, or professional services provided by VectorStream Systems Inc.("VectorStream," "we," "us," or "our"), you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between VectorStream and the legal entity you represent ("Client").

2. License Grant & Restrictions

• Non-Exclusive  License: VectorStream grants the Client a non-exclusive,      non-transferable, and revocable license to use our software products (including D365 extensions and cloud bridges) solely for internal business  operations.
• Microsoft  Platform Dependency: Our products are designed to operate within the      Microsoft Dynamics 365 environment. Use of our services requires a valid, active subscription to the applicable Microsoft Online Services.
• Prohibited  Use: Client shall not reverse engineer, decompile, or attempt to extract the source code of any VectorStream Intellectual Property (IP).

3. Intellectual Property (IP)

VectorStream retains all rights, title, and interest in and to its software, including all updates, custom modifications, and derivative works. No ownership of the software is transferred to the Client. All trademarks, service marks, and logos used in connection with our services are the property of VectorStream Systems.

4. Client Data & Sovereignty

• Ownership: The Client retains full ownership of all business data processed by our  applications.
• Native Processing: Our software is architected to process data within the      Client’s managed Microsoft Azure tenant. VectorStream does not claim      ownership of, nor does it typically store, Client’s core financial or transactional data on external servers.

5. Fees and Payment

• Subscription  Terms: Access to VectorStream software is provided on a subscription      basis (monthly or annually) as defined in the signed Order Form or via the Microsoft Marketplace.
• Non-Payment: We reserve the right to suspend or terminate access to our extensions if subscription fees are not paid in full by the due date.

6. Limitation of Liability

To the maximum extent permitted by law, VectorStream Systems Inc. shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising from the use or inability to use our software. Our total liability for any claim shall not exceed the amount paid by the Client for the service in the twelve (12) months preceding the claim.

7. Termination

Either party may terminate the agreement with thirty (30) days' written notice. Upon termination, the license granted to the Client will immediately cease, and the Client must remove all VectorStream extensions from their Microsoft Dynamics environment.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
